The Problem

Private Securities Markets Lack the Infrastructure of Public Markets*

Illiquid, Inaccessible and Inefficient

Investor Access

Private securities and alternative investments are not readily available to the general public. Thus, the average individual retail investor is denied access to potentially attractive investments in some of the world’s fastest growing enterprises.

Limited Liquidity

Liquidity is limited for private companies and alternative assets. Where liquidity does exist, the experience is inefficient

Market Opportunity

* There is no established secondaries trading platform for exempt private securities market to match the public market infrastructure of Nasdaq or NYSE

* Private capital markets investments have boomed over the past decade. Already large at $25 trillion, the market is on pace to more than double in size by 2032 to $65 trillion.

A primary driver of this growth is the increased participation of individual, high net-worth retail investors.

* The secondaries market, where buyers and sellers trade existing interests in private equity funds and their portfolio companies, has grown to $130 billion, a six-fold increase during the past decade and anticipated to grow to $800 billion by 2030. Given the rapidly expanding need for liquidity solutions in private capital, the potential for continued growth is exponential.

Capital Engine® Solution

Tiered private markets ecosystem addresses these key pain points

  • Capital Engine® operates an online capital raising marketplace and broker dealer /private placement platform for small and large raises

  • Investment marketplace and software solutions have helped raise over $700M of capital

  • Alternative Trading System (ATS) provides off-ramp to investors looking for transparency and liquidity

  • Capital Engine® ATS will support investing and trading in alternative, fractionalized & digital assets

  • Capital Engine® is a SaaS B2B company providing a private (white) label business solution

  • Extremely scalable with synergistic benefits to our other operations and long-term recurring revenue

  • Deal-agnostic technology stack, enterprise advisory services and fully licensed broker-dealer operations, we provide an end-to-end ecosystem for issuers, investors and intermediaries

Strategic Partnerships and Key Business Technologies

Capital Engine® Series A — Investor Q&A

What exactly does Capital Engine do, and how is it different from other private market platforms?

Capital Engine® is a full-stack private markets infrastructure provider, not a single-point solution.

While most platforms focus on one segment:

> Forge / Hiive → secondary trading

> EquityZen → access to late-stage private shares

> Carta → cap table management

Capital Engine integrates the full lifecycle:

> Primary capital formation (Reg D, Reg A, Reg S)

> Investor onboarding & compliance (KYC/AML, accreditation, reporting)

> Broker-dealer execution (via Mallory Capital Group)

> Secondary market enablement & liquidity

> White-label infrastructure for partners (BDs, wealth platforms, issuers)

Key difference:

We power the ecosystem — enabling others to raise, distribute, and manage capital — rather than competing as a single marketplace.

How does Capital Engine generate revenue and scale?

Capital Engine operates a multi-layered, recurring revenue model:

> Platform / SaaS Fees: Monthly licensing fees from issuers, broker-dealers, and partners

> Transaction Fees: Percentage-based fees on capital raised (typically 1%+ depending on structure)

> Success Fees / Advisory: Capital raising and deal structuring services (via broker-dealer)

> Marketplace Economics: Fees from listings, investor participation, and secondary trading (as liquidity scales)

This creates:

> Recurring revenue (SaaS)

> Event-driven upside (capital raises)

> Long-term scalability (marketplace + secondaries)

As more partners adopt the infrastructure, the model compounds through a network effect of deal flow + investor access.

What traction and validation has the business achieved to date?

Capital Engine has demonstrated real-world execution and market validation:

> $750M+ in transactions processed

> $250M currently raising across active client mandates

> $650M+ qualified deal pipeline

Key milestones:

> Acquisition and FINRA approval of Mallory Capital Group (broker-dealer)

> Launch of USA REIT Markets (retail-focused real estate platform)

> Strategic alliance with Regiment Securities (distribution + co-syndication)

Additionally, recent acquisitions by Morgan Stanley, Schwab, and Goldman Sachs validate the broader institutional shift into private markets infrastructure.

What is the long-term vision and exit potential for investors?

Capital Engine is positioning itself as a core infrastructure layer in a rapidly expanding market.

The private markets ecosystem is projected to grow from:

> ~$25 trillion today

> To $65 trillion+ by 2032

We believe the next generation of financial institutions will be:

> Digitally native

> Private-market focused

> Infrastructure-driven

Potential exit pathways include:

> Strategic acquisition by investment banks, asset managers, or fintech platforms

> Consolidation within private market infrastructure providers

> Long-term scaling into a global private markets platform / exchange

Recent transactions (EquityZen, Forge, Industry Ventures) in excess of $2B demonstrate clear M&A appetite for this category.

Why is now the right time to invest in Capital Engine?

Several structural shifts are converging:

1. Institutional Validation

Major financial institutions are aggressively entering private markets through acquisitions and partnerships.

2. Retail & HNW Demand

A significant percentage of HNW investors are seeking private market exposure but lack access and infrastructure.

3. Regulatory Enablement

Frameworks like Regulation A+ and digital onboarding are unlocking broader participation at scale.

4. Liquidity Evolution

Secondary markets for private assets are growing rapidly, creating a more complete ecosystem.

5. Infrastructure Gap

Despite market growth, the underlying infrastructure remains fragmented — creating a first-mover advantage for integrated platforms like Capital Engine.

What are the key risks in the business, and how are they mitigated?

1. Regulatory & Compliance Risk

Risk: Private markets operate within complex and evolving regulatory frameworks (SEC, FINRA, global equivalents).

Mitigant:

> Ownership of Mallory Capital Group (broker-dealer) provides in-house regulatory capability

> Established KYC/AML, accreditation, and compliance infrastructure

> Focus on compliant frameworks (Reg D, Reg A, Reg S)

> Ongoing legal and regulatory advisory embedded in operations

2. Market Adoption Risk (Retail + Issuers)

Risk: Adoption of retail-enabled private markets may take longer than expected.

Mitigant:

> Strong existing traction ($750M+ processed)

> B2B2C model (platforms, broker-dealers, issuers bring distribution)

> Partnerships (e.g., Regiment Securities) accelerate adoption

> Multiple verticals (real estate, private equity, venture, etc.) reduce dependency

3. Liquidity / Secondary Market Risk

Risk: Secondary liquidity for private assets is still developing.

Mitigant:

> Platform designed to support both primary + secondary markets

> Positioning ahead of liquidity curve (infrastructure first)

> Exposure to increasing secondary volumes and demand

> Strategic focus on structured liquidity programs

4. Competitive Risk

Risk: Larger financial institutions and fintech platforms entering the space.

Mitigant:

> Early mover in integrated infrastructure model

> Differentiation vs point solutions (end-to-end platform)

> White-label strategy embeds Capital Engine into partner ecosystems

> Positioned as infrastructure layer rather than direct competitor

5. Execution & Scaling Risk

Risk: Scaling operations, partnerships, and technology simultaneously.

Mitigant:

> Proven execution across $750M+ transactions

> Modular platform architecture

> Experienced leadership team (investment banking + fintech)

> Strategic hires (CRO, upcoming COO) to support scaling
